1. Who we are
FlowPrompter is operated by Principle Inc., doing business as FlowPrompter (“FlowPrompter,” “we,” “us,” or “our”). These Terms apply to our websites, desktop and mobile applications, teleprompter tools, AI tools, voice features, and related services (collectively, the “Service”).
2. Eligibility and accounts
You must be legally capable of entering into these Terms. If you are under the age of majority where you live, a parent or legal guardian must review and agree to these Terms for you. You are responsible for maintaining the confidentiality of your account and for activity under it. Keep your email address and other account information accurate and notify us promptly if you believe your account has been compromised.
3. License to use the Service
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for lawful personal or internal business purposes. You may not copy, resell, sublicense, reverse engineer, bypass access controls, or exploit the Service except where applicable law expressly permits it.
4. Your content
You retain ownership of scripts, prompts, recordings, feedback, and other content you submit to the Service (“User Content”). You grant us a limited license to host, process, transmit, reproduce, and display User Content only as reasonably necessary to provide features you request, sync content, secure and maintain the Service, provide support, comply with law, and enforce these Terms.
You are responsible for your User Content and must have the rights needed to use it. Do not submit content that is unlawful, infringes another person’s rights, contains malware, or violates privacy, publicity, intellectual property, or confidentiality obligations. Our handling of personal information is described in our Privacy Policy.
5. Voice and AI features
Some features use third-party speech-recognition or AI providers. When you choose to use those features, relevant audio, prompts, scripts, or other inputs may be transmitted to those providers to generate the requested output. AI-generated and speech-recognition results may be incomplete, inaccurate, or unsuitable for your intended use. You are responsible for reviewing outputs before relying on or publishing them.
6. Paid plans, trials, and automatic renewal
- The price, currency, billing interval, included features, and any trial period are displayed before you complete a purchase.
- If a trial requires a payment method, the checkout page will show the trial length and the amount and billing interval that begin when the trial ends. Unless you cancel before the trial ends, your paid subscription starts automatically.
- Subscriptions renew automatically at the selected monthly, annual, or other disclosed interval until canceled. You authorize the applicable payment provider to charge the payment method on file at each renewal.
- Trial eligibility may be limited to new or otherwise eligible customers. We may revoke a trial obtained through fraud, duplicate accounts, or other abuse.
7. Cancellation
You may cancel a Stripe subscription through FlowPrompter’s account settings and the Stripe-hosted customer portal. Subscriptions purchased through Apple must be canceled in your Apple account or App Store subscription settings. Unless the checkout or applicable law says otherwise, cancellation takes effect at the end of the current paid billing period and you retain access until then.
Deleting the FlowPrompter app or deleting your FlowPrompter account does not necessarily cancel an active subscription managed by Stripe, Apple, or another payment provider. You should cancel the subscription through the applicable billing portal before deleting your account.
8. Refunds
Refund eligibility is governed by our Refund & Cancellation Policy and any mandatory rights under applicable law. Except as stated there or required by law, subscription fees are not prorated for unused time in a billing period.
9. Prices, taxes, and payment processing
Prices may change, but changes to an existing subscription will apply no earlier than a future billing period after any notice required by law. You may cancel before the new price takes effect. Prices may exclude taxes unless checkout states otherwise. Payments are processed by providers such as Stripe or Apple; we do not receive your full payment card number.
10. Acceptable use
You may not use the Service to:
- violate any law or another person’s rights;
- upload malicious code or interfere with the Service or another user;
- probe, scan, or bypass security or usage limits;
- scrape or access the Service through unauthorized automated means;
- misrepresent your identity or payment authorization;
- use the Service to create or distribute unlawful, fraudulent, or abusive material; or
- help another person do any of the above.
11. Third-party services
The Service may integrate with third-party platforms, payment providers, identity providers, analytics tools, speech services, AI providers, or app stores. Their products and terms are separate from ours. We are not responsible for third-party services, but we remain responsible for our own obligations under applicable law.
12. Service changes and availability
We may update, add, remove, suspend, or discontinue features. We aim to keep the Service available, but we do not promise uninterrupted or error-free operation. If we discontinue a paid Service before the end of a prepaid period, we will provide any refund required by law and may provide a reasonable prorated refund where appropriate.
13. FlowPrompter intellectual property
The Service, software, design, trademarks, logos, and other materials provided by us are owned by Principle Inc. or our licensors and are protected by intellectual property laws. These Terms do not transfer ownership of those materials to you.
14. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you materially violate these Terms, create a security or legal risk, fail to pay amounts due, or misuse the Service. Where reasonable, we will provide notice and an opportunity to correct the issue. Provisions that by their nature should survive termination will survive, including payment obligations, ownership, disclaimers, and limitations of liability.
15. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.
16. Limitation of liability
To the maximum extent permitted by law, Principle Inc. and its affiliates, officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or business opportunities arising from the Service. Our aggregate liability arising from the Service will not exceed the greater of the amount you paid to FlowPrompter during the 12 months before the event giving rise to the claim or USD 100.
These limitations do not apply where prohibited by law or to liability that cannot legally be limited, including liability for fraud, willful misconduct, or death or personal injury caused by negligence where applicable.
17. Governing law and consumer rights
These Terms are governed by the laws of the Cayman Islands, without regard to conflict-of-laws rules. If you are a consumer, this choice does not deprive you of mandatory rights or protections available under the laws of your usual place of residence. Before starting a formal claim, please contact us so we can try to resolve the issue.
18. Changes to these Terms
We may update these Terms to reflect changes to the Service, law, or business practices. We will post the updated Terms with a new effective date and provide additional notice for material changes when required. Changes do not retroactively alter completed transactions.
